AI Data Licensing Agreement: Seller Checklist

An AI data licensing agreement must define which records are covered, the intended AI uses, permitted recipients and the safeguards that apply. A headline purchase price is not enough to assess the deal.

Summary

An AI data licensing agreement must define which records are covered, the intended AI uses, permitted recipients and the safeguards that apply. A headline purchase price is not enough to assess the deal.

Define the dataset and its permitted use

Identify systems, time periods, data categories, excluded fields and whether the grant covers samples, future updates or derivatives. Specify training, fine-tuning, evaluation and agent-simulation rights separately where appropriate.

Avoid unlimited descriptions such as all business records for any AI purpose when the reviewed asset is narrower.

Ownership, term and exclusivity

State that the seller retains title unless a transfer is specifically intended. Define duration, renewal, territory, whether the license is exclusive and what rights survive termination.

Require clarity on sublicensing, onward transfer to model developers, model retention and whether the seller can license similar data again.

Privacy and data security

Contract language cannot cure missing authority to disclose customer or employee information. Review source-system terms, privacy notices, confidentiality obligations and applicable law before transfer.

Specify permitted processors, de-identification tests, access logs, security controls, incident notice, retention periods, re-identification bans, audit procedures and deletion evidence.

Money, responsibility and enforcement

Define the amount, payment currency, milestones, acceptance tests and remedies for late payment. If a broker participates, document who pays its fee and when.

Allocate liability for IP, confidentiality and privacy claims with qualified counsel. This checklist is general information, not a contract template or legal advice.
