# Startup Shutdown Data Monetization Guide

Closing startups may have usable code, support histories, workflow records and documentation. However, insolvency and shutdown do not eliminate confidentiality, employee privacy or creditor obligations.

## Identify transferable assets and authority

Record which entity owns source code, operational archives, intellectual property and licenses. Confirm whether management, a trustee, liquidator or other authorized party can approve a proposed transaction.

Check investor, employee, customer, software and open-source agreements; do not assume founders personally own company data.

Differentiate selling ownership of a codebase, transferring business assets and granting a limited license for data. Review exclusivity, term, warranties, payment timing and liabilities with counsel.
